1. Acceptance of Terms

By accessing, browsing, or using the Upper Sports Management website (the “Site”), including submitting any forms or creating a profile, you (“User,” “Athlete,” or “Fighter”) agree to be bound by these Terms & Conditions (“Terms”).
If you do not agree, do not use this Site.

 

2. No Guarantee of Opportunities

Use of this Site does not guarantee:

  • Fight offers

  • Representation

  • Sponsorships

  • Matchmaking

  • Fight placement

  • Business opportunities

All opportunities, introductions, and communications are made at the sole discretion of Upper Sports Management (“USM”). No promises or assurances—express or implied—are made.

 

3. Fighter Fee Agreement

By signing up—although the signup is free—you agree to the following:

  • You agree to pay UPPER Sports Management a 5% fee on every completed fight that results from your use of this Site or from any introductions, connections, or opportunities provided through it.

  • The fee applies regardless of the amount you are paid for the fight.

  • The fee applies whether the connection is made through your public profile, direct contact initiated by USM, or any match made as a result of the platform.

Non-Payment Consequences:
Failure to pay the required fee will result in:

  • Suspension of your profile

  • Removal from visibility

  • Loss of access to new offers or opportunities via the Site

USM reserves the right to pursue unpaid fees to the fullest extent allowed by law.

 

4. User Eligibility

To use this Site you must:

  • Be at least 18 years old

  • Provide accurate and truthful information

  • Have legal authority to enter into these Terms

  • Not be prohibited from receiving fight contracts or participating in athletic events

USM may request verification at any time.

 

5. User Responsibilities

You agree to:

  • Maintain accurate, updated information on your profile

  • Not impersonate any person or organization

  • Not misrepresent your fight record, experience, or credentials

  • Comply with all governing athletic commissions, venue rules, and event regulations

  • Act professionally when communicating with promoters, matchmakers, and the USM team

 

 

6. No Confidentiality Guarantees

Unless you have a separate written agreement with USM:

  • Submissions (including profile information, media, or messages) are not confidential

  • USM is not required to treat submissions as proprietary

  • You should not submit sensitive, private, or confidential materials

 

 

7. Intellectual Property

Users may NOT:

  • Use the Site to harass, threaten, or abuse others

  • Attempt to manipulate matchmaking or fight offers

  • Upload malicious code, bots, or spam

  • Interfere with Site functionality

  • Attempt unauthorized access to USM systems

  • Misuse the platform for unrelated business activities

  • Post fraudulent fight opportunities or impersonate promoters

Any violation may result in account suspension or permanent removal.

 

 

8. Prohibited Activities

Users may NOT:

  • Use the Site to harass, threaten, or abuse others

  • Attempt to manipulate matchmaking or fight offers

  • Upload malicious code, bots, or spam

  • Interfere with Site functionality

  • Attempt unauthorized access to USM systems

  • Misuse the platform for unrelated business activities

  • Post fraudulent fight opportunities or impersonate promoters

Any violation may result in account suspension or permanent removal.

 

 

9. Contact and Communication

By using the Site, you consent to receiving communications from USM including:

  • Emails

  • Text messages

  • Phone calls

  • Platform notifications

These may relate to opportunities, reminders, updates, or contractual matters.

You may opt out of marketing messages but not essential account or fee-related notifications.

 

10. Third-Party Promoters & Events

USM is not responsible for:

  • Promoter behavior

  • Event cancellations

  • Travel or booking issues

  • Payment disputes between fighters and promoters

  • Athletic commission rulings

  • Medical or injury-related outcomes

USM provides introductions only — not promoter guarantees.

 

 

11. Limitation of Liability

To the fullest extent permitted by law:

  • USM is not liable for lost opportunities, fight cancellations, injuries, financial losses, emotional distress, or damages resulting from your use of this Site.

  • All use is at your own risk.

  • The Site is provided “as is” and “as available.”

 

 

12. Indemnification

You agree to indemnify and hold harmless USM, its team, contractors, and affiliates from any claims or damages arising from:

  • Your use of the Site

  • Your participation in fights or events

  • False information you submit

  • Injuries or disputes related to fight activity

  • Your violation of these Terms

 

 

13. Account Termination

USM may suspend or terminate your access at any time, including but not limited to:

  • Non-payment of the 5% fee

  • Submission of false information

  • Fraudulent behavior

  • Violations of these Terms

  • Misuse of the platform

  • Harassment or unprofessional conduct

You may request account closure at any time by contacting USM.

 

 

14. Modification of Terms

USM may update or modify these Terms at any time. Updated Terms will be posted on this page.

Continued use of the Site means you accept the updated Terms.
